These Enterprise Supplemental Terms (“Enterprise Terms”) apply where Customer purchases an enterprise Subscription via an Order Form; in the event of conflict, the Order Form prevails for commercial items, the DPA prevails for data processing, and these Enterprise Terms prevail over the standard Terms solely for enterprise accounts.

1. Authorized Users; Admin Controls

Customer may provision Authorized Users, and Customer is responsible for their compliance; Customer administrators may access and manage Workspaces, settings, permissions, and exports, and Customer acknowledges that administrative controls may allow access to Customer Content as configured by Customer.

2. Support; Service Levels (If Purchased)

Support levels (e.g., Standard, Premium) and response targets, as well as uptime commitments (if any), are defined in the applicable Order Form or SLA exhibit; unless expressly stated, no SLA is guaranteed, and scheduled maintenance windows may occur with reasonable notice, except in emergencies.

3. Compliance; Customer Obligations

Customer is responsible for determining whether the Service meets Customer’s regulatory requirements and for configuring the Service consistent with Customer’s compliance program, including access control, retention, and Content governance; NeoFlux will provide reasonable security and compliance documentation as agreed, but does not warrant compliance with any specific industry standard unless expressly stated (e.g., SOC 2) in the Order Form.

4. Confidentiality (Enhanced)

Each party may receive the other’s Confidential Information, and each party shall protect such Confidential Information using reasonable care and not disclose it except to employees and contractors with a need to know who are bound by confidentiality obligations; either party may disclose Confidential Information as required by law, provided it gives notice and cooperates to limit disclosure where permitted.

5. Professional Services (If Any)

Any implementation, onboarding, or professional services are governed by a statement of work; unless specified, professional services are time-and-materials and do not include custom development commitments.

6. Term; Renewal; Fees; Procurement

Enterprise Subscription term, renewal, and payment terms are set forth in the Order Form; unless otherwise stated, fees are non-cancelable and non-refundable, and late payments may incur interest at the lower of 1.5% per month or the maximum allowed by law; Customer will be responsible for taxes unless a valid exemption is provided.

7. Customer Data Export; Assistance

Upon request during term and for a limited period after expiration, NeoFlux will provide standard export mechanisms for Customer Content in formats supported by the Service, and may provide reasonable assistance at then-current rates where substantial effort is required.

8. Publicity

NeoFlux may list Customer’s name and logo as a customer reference only with Customer’s prior written consent, unless the Order Form provides otherwise.
