Subscription and Auto-Debit Authorization Agreement

This Subscription and Auto-Debit Authorization Agreement (“Agreement”) is entered into between NeoFlux AI Pte. Ltd. (“NeoFlux”, “Corvio”, “we”, “us”) and you (“you”, “Customer”). By subscribing to Corvio or enabling recurring payments (including Alipay Auto-debit), you agree to this Agreement.

1. Service Description

Corvio is an AI Native doc system software-as-a-service (“SaaS”) product that provides access to premium features including AI assistance, document-system organization, memory and skills functionality, and related features (collectively, the “Service”). The Service is provided on a subscription basis.

2. Subscription Plans and Billing Cycle

2.1 Plans. Subscription plans, features, and pricing are described on our pricing page and/or in the checkout flow.

2.2 Billing cycle. Subscriptions are billed on a recurring basis (e.g., monthly or annually) as selected at checkout (the “Billing Cycle”).

2.3 Taxes. Prices may exclude applicable taxes unless stated otherwise. Where required, taxes may be added at checkout or on invoices.

3. Auto-Debit / Recurring Payment Authorization

3.1 Authorization. By providing a payment method and completing subscription checkout, you authorize us (and our payment processors) to automatically charge your selected payment method for recurring subscription fees, taxes, and any applicable adjustments in accordance with your chosen Billing Cycle.

3.2 Alipay Auto-debit. If you choose Alipay, you authorize Alipay Auto-debit to be used for recurring subscription charges. Alipay may display an authorization page where you confirm this auto-debit arrangement.

3.3 Charge timing. Recurring charges are typically made at the start of each Billing Cycle unless otherwise indicated.

3.4 No additional confirmation. You understand that recurring charges may occur without further authorization each cycle until you cancel the subscription in accordance with Section 6.

4. Receipts and Notifications

4.1 Receipts. We may provide receipts and billing confirmations by email or within your account dashboard.

4.2 Upcoming renewals. Where supported, we may send reminders of upcoming renewals or invoice availability.

5. Price Changes and Plan Changes

5.1 Plan changes by you. If you upgrade or downgrade, the change may take effect immediately or at the next Billing Cycle depending on the plan rules shown during the change.

5.2 Price changes by us. We may change prices or plan features from time to time. If a price change applies to your subscription, we will provide notice (e.g., email or in-product) prior to the change taking effect.

6. Cancellation and Termination

6.1 How to cancel. You may cancel at any time through Settings → Billing → Cancel Subscription (or equivalent account settings).

6.2 Effective date of cancellation. Unless otherwise stated at the time of cancellation, cancellation becomes effective at the end of the current Billing Cycle. You will retain access until that time.

6.3 No further charges. After cancellation takes effect, we will not charge you for subsequent Billing Cycles.

6.4 Termination for cause. We may suspend or terminate access for suspected fraud, abuse, violation of policies, or legal/compliance reasons. If we terminate for cause, refunds may not be provided to the extent permitted by law.

7. Refund Policy and Charge Disputes

7.1 Refund policy. Refunds are governed by our Refund Policy and are subject to applicable laws.

7.2 Incorrect charges. If you believe you were incorrectly charged, please contact support@corvio.ai promptly with relevant details.

7.3 Chargebacks. If you initiate a chargeback or dispute with your bank or payment provider without contacting us first, it may delay resolution and may result in suspension of your account pending investigation.

8. Account and Payment Responsibilities

8.1 Accurate information. You agree to provide accurate billing information and keep it updated.

8.2 Payment failures. If a payment fails, we may retry the charge. If payment cannot be completed, your subscription may be suspended or downgraded until payment is resolved.

8.3 Third-party processors. Payments may be processed by Stripe and/or Alipay, and their terms may also apply.

9. Access to the Service

9.1 Availability. We strive to keep the Service available but do not guarantee uninterrupted access.

9.2 Changes to the Service. We may update, modify, or discontinue portions of the Service over time.

10. Acceptable Use

You agree not to misuse the Service, including attempting unauthorized access, interference, or using the Service for unlawful or prohibited activities.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law:
12.1 No indirect damages. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
12.2 Liability cap. Our total liability arising out of or relating to this Agreement will not exceed the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.

13. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Service, you agree to our privacy practices.

14. Governing Law

This Agreement is governed by the laws of Singapore, without regard to conflict-of-law principles.
